Acceptance
By accessing or using ilogisticsusa.com (the "Site") or any services provided by iLogistics USA, LLC ("iLogistics", "we", "our", "us"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree to these Terms, do not use the Site or our Services.
Services
We provide third-party logistics ("3PL") services including warehousing, pick-and-pack fulfillment, kitting and assembly, FBA prep, cross-docking, and shipping coordination. Specific commercial terms — pricing, SLAs, storage, billing — are governed by a separate Master Services Agreement ("MSA") executed between you and iLogistics. In case of conflict between these Terms and your MSA, the MSA controls.
Accounts
To use most of our Services, you must create an account and provide accurate, complete information. You are responsible for safeguarding your account credentials and for any activity under your account. Notify us immediately of any unauthorized access.
Acceptable use
- You agree not to use the Services to: ship prohibited or illegal items (firearms, ammunition, explosives, controlled substances, hazardous materials outside of approved exceptions, counterfeit goods, items violating IP rights);
- reverse engineer, decompile, or attempt to extract source code from our platform;
- interfere with the operation of the Site or Services;
- use the Site for any unlawful purpose or in violation of any local, state, federal, or international law.
Prohibited shipments
You represent and warrant that no shipment tendered to iLogistics will violate applicable law, including but not limited to controlled substances laws, export controls, sanctions (OFAC), or carrier-specific prohibitions. We reserve the right to refuse, hold, return, or surrender any shipment we reasonably believe to violate this section.
Payment
Fees for our Services are governed by your MSA or signed quote. Invoices are due net-15 unless otherwise specified. Past-due amounts may accrue interest at the lesser of 1.5% per month or the maximum permitted by law. We may suspend Services for non-payment after written notice.
Intellectual property
We retain all right, title, and interest in our platform, brand, content, and proprietary technology. You retain ownership of your own data and content. We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms and any MSA.
Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free Service.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ILOGISTICS, ITS AFFILIATES, OFFICERS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. Our aggregate liability shall not exceed the amounts you paid us in the 12 months preceding the claim.
Indemnification
You agree to indemnify and hold iLogistics harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, your violation of law, or your products (including IP infringement, product defects, or safety claims related to items we fulfill on your behalf).
Termination
We may suspend or terminate your access to the Services for breach of these Terms, non-payment, or as permitted under your MSA. Upon termination, we will work in good faith to transition your inventory and data per the wind-down terms in your MSA.
Governing law
These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles. Any dispute will be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida.
Changes
We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the Site. Continued use of the Services after changes constitutes acceptance.
